These Terms of Use (“Terms”) govern your access to and use of the Newport Lending Group (“we,” “us,” “our”) website and services. By accessing or using our website, you agree to be bound by these Terms. If you do not agree, you must not use our website.
1. Use of Our Website and Platform
The Newport Lending Group website and related online services (collectively, the “Platform”) are provided solely for lawful business purposes in connection with residential mortgage lending activities. The Platform includes informational content as well as secure point-of-sale (POS) and portal functionality.
Brokers, borrowers, customers, and other authorized users may use the Platform to submit mortgage applications, provide required information, upload and retrieve documents, communicate with Newport Lending Group personnel, and monitor loan status throughout the mortgage lifecycle.
Access to certain features requires registration, authentication, and ongoing authorization. You are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account.
You agree to use the Platform in compliance with all applicable federal, state, and local laws and regulations, including those governing mortgage lending, consumer protection, privacy, and data security.
1.1 User Conduct and Prohibited Activities
You agree not to misuse the Platform or engage in any activity that interferes with its normal operation or security. Prohibited activities include, but are not limited to:
- Submitting false, misleading, or fraudulent information
- Attempting to gain unauthorized access to systems or data
- Uploading malicious code, malware, or harmful content
- Using the Platform for unlawful or non‑mortgage‑related purposes
- Interfering with other users’ access or experience
2. No Legal, Financial, or Tax Advice
Information provided through the Platform is for general informational purposes only and does not constitute legal, financial, tax, or professional advice. Newport Lending Group does not guarantee the accuracy or completeness of any information and disclaims reliance on such information for decision-making.
2.1 Accuracy of Information Provided
You represent and warrant that all information you submit through the Platform is accurate, complete, and current to the best of your knowledge. You agree to promptly update information as necessary to ensure continued accuracy throughout the mortgage process.
3. Intellectual Property Rights
All content, software, text, graphics, logos, trademarks, and materials made available through the Platform are owned by or licensed to Newport Lending Group and are protected by applicable intellectual property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works, or otherwise exploit any Platform content without prior written consent.
4. Third-Party Services and Links
The Platform may integrate with or link to third-party services, websites, or providers, including credit agencies, title companies, document providers, and other service partners. Newport Lending Group does not control and is not responsible for third-party content, systems, or practices.
5. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. Newport Lending Group disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
6. Limitation of Liability
To the fullest extent permitted by law, Newport Lending Group shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Platform.
7. Indemnification
You agree to indemnify, defend, and hold harmless Newport Lending Group and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.
7.1 Account Suspension or Termination
Newport Lending Group reserves the right to suspend or terminate access to the Platform, in whole or in part, at any time and without prior notice, if we reasonably believe you have violated these Terms, engaged in unlawful activity, or pose a security or compliance risk.
8. Changes to These Terms
Newport Lending Group may revise these Terms at any time. Updates will be effective upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.
9. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable state law requires otherwise. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within the State of California, unless otherwise required by law.
10. SMS Terms of Service
By providing your mobile number and consenting to SMS communications, you agree to receive transactional and operational text messages related to your mortgage inquiry, application, or loan servicing, including document requests, verification messages, and time-sensitive notifications.
Message frequency may vary. Message and data rates may apply. Wireless carriers, including all major U.S. mobile carriers, are not liable for delayed, undelivered, or misdirected messages. 11. Dispute Resolution and Arbitration
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration on an individual basis, rather than in court.
Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA), and judgment on the award may be entered in any court of competent jurisdiction. You and Newport Lending Group each waive the right to participate in a class action or representative proceeding.
This arbitration provision does not apply where state or federal law prohibits mandatory arbitration for certain claims.
12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
